A description of Gogo Inc.’s (the “Registrant”) common stock, par value $0.0001 per share (the “Common Stock”), is set forth under the caption “Description of Capital Stock” in the Registrant’s registration statement on Form S-1 (File No. 333-178727) filed with the Securities and Exchange Commission on December 22, 2011, as thereafter amended (the “Registration Statement”), which is incorporated herein by reference. The form of prospectus that constitutes part of the Registration Statement and is filed by the Registrant pursuant to Rule 424(b) under the Securities Act of 1933, as amended, shall be deemed incorporated herein by reference.

The Registrant’s Common Stock to be registered hereunder has been approved for listing on the NASDAQ Global Select Market of The NASDAQ Stock Market LLC under the symbol “GOGO.”
